Terms of Service

• "Service" refers to the ListingSet platform, including the website at listingset.io, the image generation tool, user dashboard, admin panel, affiliate portal, and any APIs or integrations.
• "User" means any individual who accesses or uses the Service, whether through a free or paid account.
• "Content" means any images, text, files, or other materials uploaded to or generated through the Service.
• "Credits" means the virtual currency used within the Service to pay for image generation and other features.
• "Subscription" means a recurring paid plan granting a monthly allocation of credits and access to premium features.
• "Generated Images" means AI-generated product images produced by the Service based on your inputs.
• "Affiliate" means a person or entity who has been approved to participate in the ListingSet affiliate program and who refers new users to the Service in exchange for commissions.
• "Referred User" means a new user who registers for the Service after clicking a valid affiliate referral link.

To use the Service, you must:

• Be at least 16 years of age.
• Have the legal capacity to enter into a binding agreement in your jurisdiction.
• Not be prohibited from using the Service under applicable law.
• Provide accurate and complete registration information.

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and all references to "you" include both you and the entity.

You may create an account using Google Sign-In or by registering with an email address and password. You are responsible for all activity that occurs under your account and for keeping your login credentials secure.

You agree to:

• Keep your account credentials secure and not share access with others.
• Notify us immediately at support@listingset.io if you suspect unauthorized access to your account.
• Maintain accurate and up-to-date account information.
• Not create multiple accounts to circumvent restrictions, bans, or free tier limits.

We reserve the right to suspend or terminate accounts at our discretion if we detect abuse, fraud, or violation of these Terms.

ListingSet provides an AI-powered platform that generates professional product listing images for e-commerce sellers. The core features include:

• Uploading product reference images and generating styled AI output images.
• Selecting platforms, aspect ratios, and visual styles.
• AI-generated listing copy (product descriptions, titles).
• Project history and image downloads.
• Credit management and subscription billing.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with or without notice. We will make reasonable efforts to notify users of significant changes that affect paid features.

5.1 How Credits Work

Credits are the internal currency of the Service. Each image generation action consumes a defined number of credits from your account balance. Credit costs for specific operations are displayed within the Service and may be updated from time to time with reasonable notice.

5.2 Monthly Plan Credits

• Subscription plans include a fixed monthly credit allocation that refreshes at the start of each billing cycle.
• Unused monthly credits do not roll over to the next billing cycle and are forfeited upon reset.
• Monthly credits are non-refundable once allocated to your account.

5.3 One-Time Credit Packs

• One-time credit purchases (credit packs) are added to your account balance and never expire.
• Credit pack credits are consumed after your monthly subscription credits are used up.
• Credit packs can be purchased at any time and used with any subscription plan, including the free tier.

5.4 Free Tier

New Free accounts receive 120 credits upon registration. Credit replenishment works as follows:

• Daily: If your balance falls below 24 credits, it is automatically topped up to 24. Unused daily replenishment capacity does not accumulate.
• Monthly: On your account anniversary date, your balance is automatically topped up to 120 credits if it is below that amount. This is a top-up to 120, not an addition of 120.

Free plan users have access to the same image generation quality as paid plan users.

6.1 Subscription Plans

ListingSet offers several monthly subscription plans at different price points, as detailed on the Pricing page. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

6.2 Billing Cycle

Subscriptions are billed monthly from the date of initial purchase. If a billing date falls on a day that does not exist in a given month (e.g., the 31st), the charge will be processed on the last day of that month.

6.3 Payment Methods

Payments are processed securely by our payment provider. We do not store your payment card details on our servers.

6.4 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of price changes via email to your registered address. Your continued subscription after the price change takes effect constitutes acceptance of the new price. If you do not agree to a price change, you may cancel before the new price takes effect.

6.5 Taxes

Prices listed on the Service are exclusive of applicable taxes unless stated otherwise. You are responsible for paying any applicable taxes, levies, or duties imposed by your local tax authorities.

6.6 Failed Payments

If a payment fails, we may retry the charge up to three times within 7 days. If payment remains unsuccessful, your subscription may be suspended and your account downgraded to the Free plan until payment is resolved.

7.1 Cancelling Your Subscription

You may cancel your subscription at any time from your Account Settings page. When you cancel:

• Future billing is stopped immediately and you will not be charged for subsequent billing cycles.
• You retain access to your paid plan and its features until the end of your current billing period.
• At the end of your billing period, your plan is automatically downgraded to the Free plan.
• Any unused monthly subscription credits remaining at the time of downgrade are forfeited. One-time credit pack credits remain in your account and do not expire.

7.2 Refund Policy

You may request a refund within 14 days of your subscription payment (initial purchase or renewal), provided that no credits have been consumed during the relevant billing period. Credits deducted as a result of a verified technical fault on our end are not counted as usage for the purpose of this policy. See our Refund Policy for full details including one-time credit pack eligibility. Refunds are not available for:

• Billing periods in which any credits were consumed (other than credits lost to a verified technical fault).
• Subscription charges more than 14 days old.
• Accounts found to be in violation of these Terms.
• Requests citing image quality where the prompt or inputs were inappropriate for the intended use case.

To request a refund, email support@listingset.io with the subject line "Refund Request" and include your account email and reason. Approved refunds are processed within 5–10 business days through the original payment method.

7.3 Account Termination by ListingSet

If we terminate your account for violation of these Terms, you are not entitled to a refund of any unused credits or subscription fees.

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. You must not use the Service to:

• Upload, generate, or distribute content that is illegal, defamatory, obscene, abusive, discriminatory, or violates the rights of any person.
• Upload images of real, identifiable people without their explicit consent.
• Generate imagery depicting minors in inappropriate contexts.
• Infringe any intellectual property, publicity, privacy, or other proprietary or personal rights, including copyrights, trademarks, trade secrets, and rights of likeness, of any third party.
• Misrepresent the origin of products or create deceptive or fraudulent listing content.
• Impersonate any real person, or create content designed to lead others to believe that a real individual has said, endorsed, used, recommended, or approved something they have not.
• Create, distribute, or promote synthetic media or AI-generated depictions of real individuals in a deceptive, non-consensual, or harmful manner.
• Reverse-engineer, decompile, or attempt to extract the source code, AI models, or underlying algorithms of the Service.
• Scrape, crawl, or use automated tools to access the Service in a manner that places excessive load on our infrastructure.
• Circumvent rate limits, credit limits, or other technical restrictions.
• Attempt to bypass, disable, manipulate, or circumvent any safety mechanisms, content filters, or other protective measures built into the Service, whether through prompt manipulation, adversarial inputs, or any other means.
• Use the Service to build a competing product or to benchmark our systems for the purpose of building a competitor.
• Sell, resell, or sublicense access to the Service without our written permission.
• Use the Service to generate spam, bulk messaging, or unsolicited commercial content.
• Introduce malware, viruses, or other malicious code into the Service.
• Use the Service or any content generated through it in a manner that violates applicable laws or regulations in your jurisdiction or in any jurisdiction where you publish, market, or otherwise use such content.

Violation of this section may result in content removal, feature restrictions, account suspension or termination, and any other measures described in Section 13, with or without prior notice.

If you believe that content on or generated through the Service infringes your rights or the rights of a third party you are authorized to represent, please submit a report at listingset.io/report or contact us at support@listingset.io. See Section 9.5 for full reporting instructions.

9.1 ListingSet's Intellectual Property

The Service, including its design, software, AI models, branding, trademarks, and all proprietary content, is owned by ListingSet and protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

9.2 Your Content

By uploading any content to the Service, you represent and warrant that you hold all necessary rights, licenses, consents, and permissions for all images, text, logos, trademarks, products, individuals, faces, or other materials included in such content, and that your upload and use of such content through the Service does not and will not violate any applicable law or the rights of any third party.

You retain full ownership of the product images you upload to the Service. By uploading images, you grant ListingSet a limited, non-exclusive, royalty-free license to store, process, and use your uploaded images solely for the purpose of providing the Service to you. We will not use your uploaded images for training AI models or for any purpose other than generating your requested outputs, unless you explicitly consent.

9.3 Generated Images

ListingSet does not claim ownership of the images generated through the Service based on your inputs and credits. To the extent ListingSet holds any rights in such generated images, those rights are assigned to you, subject to your compliance with these Terms and applicable law. You may use generated images for any commercial purpose, including listing them on e-commerce platforms, without attribution to ListingSet.

Note that the legal status of AI-generated content, including copyright eligibility, varies by jurisdiction and continues to evolve. We make no representation that generated images qualify for copyright protection in your jurisdiction.

9.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without any obligation to compensate you.

9.5 Reporting Rights Infringements

If you believe that content on or generated through the Service infringes your copyright, violates your likeness, publicity, or privacy rights, constitutes impersonation, or otherwise infringes your rights or the rights of a party you are authorized to represent, please submit a report using our dedicated form at listingset.io/report, or contact us at support@listingset.io with:

• A description of the right you claim has been infringed and the content at issue.
• Your contact information (name and email address).
• A statement that you have a good-faith belief that the use is not authorized by the rights holder, their agent, or applicable law.
• A statement that the information in your report is accurate and that you are the rights holder or are authorized to act on their behalf.

We will review all reports and take appropriate action in accordance with applicable law. Submitting a false or bad-faith report may expose you to legal liability.

The Service uses artificial intelligence to generate product images. AI-generated content is inherently probabilistic and may not always meet your expectations. We do not guarantee that:

• Generated images will be free from imperfections, artifacts, or errors.
• Generated images will be accepted or approved by any specific e-commerce platform.
• Generated images will accurately represent your physical product in all cases.
• AI-generated listing copy will be factually accurate if your input is incomplete.
• Generated content will be unique or entirely distinct from content generated for other users, as AI outputs are inherently probabilistic.
• AI outputs will be predictable or consistent across similar inputs.

You are responsible for reviewing all generated content before using it commercially and for ensuring it complies with the rules of the platforms where you list products.

The fact that content is generated through the Service does not constitute legal clearance or any representation that you are entitled to use it for any particular purpose, or that it does not infringe the rights of any third party. You remain solely responsible for any rights clearance or legal review required before using generated content commercially.

Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy, which is incorporated into these Terms by reference. Please read it at listingset.io/privacy.

12.1 How It Works

Registered users may invite others to ListingSet using a unique personal referral link (format: listingset.io?invite=CODE). When a referred user signs up and subscribes to a paid monthly plan for the first time, both the referring user and the referred user each receive 200 bonus credits added to their accounts.

12.2 Eligibility Conditions

• The referred user must be a new user who has not previously created an account.
• The referred user must subscribe to a monthly subscription plan — one-time credit pack purchases are not eligible.
• A user may not refer themselves or use multiple accounts to claim referral credits.
• The referral must be attributed via the referral cookie placed at the time of the referred user's visit. If the cookie expires or is cleared before signup, the referral will not be credited.

12.3 Referral Credits

Referral bonus credits (200 credits per successful referral) are one-time rewards. They are added to the referring user's and the referred user's credit balance and are subject to the same terms as other credits in the Service (see Section 5). Referral credits do not expire, but are non-transferable and have no monetary value.

12.4 Abuse and Fraud

We reserve the right to revoke referral credits and suspend accounts that we determine — at our sole discretion — have engaged in fraudulent referral activity, including but not limited to self-referral, fake account creation, or coordinated abuse. Decisions are final and credits may be removed retroactively.

12.5 Program Changes

We reserve the right to modify, pause, or discontinue the referral program at any time. Changes will not affect referral credits already credited to accounts before the effective date of the change.

13.1 Enforcement Measures

ListingSet reserves the right to investigate any suspected misuse, abuse, or violation of these Terms. In response to suspected or confirmed violations, ListingSet may, in its sole discretion: (a) investigate the relevant account and activity; (b) remove or restrict access to specific content; (c) limit or suspend particular features or capabilities; (d) suspend or terminate an account; or (e) take such other reasonable measures as deemed appropriate in the circumstances. These actions may be taken with or without advance notice and do not limit any other rights or remedies available to ListingSet under applicable law.

13.2 Legal Cooperation

ListingSet reserves the right, where permitted or required by applicable law, to: (a) retain records and information relevant to suspected or confirmed unlawful activity; (b) cooperate with and respond to lawful orders, subpoenas, and requests from courts, law enforcement agencies, regulators, and other competent governmental authorities; and (c) report to relevant authorities activity that ListingSet reasonably suspects to be unlawful, where such reporting is permitted or required by applicable law.

13.3 Legal Remedies

ListingSet reserves all rights and remedies available under applicable law. Nothing in these Terms limits ListingSet's right to seek injunctive relief, damages, or any other legal or equitable remedy where a user's actions cause or threaten to cause harm to ListingSet, other users, third parties, its systems, intellectual property, rights, or reputation.

14.1 Eligibility and Approval

You may apply to join the ListingSet affiliate program through the Affiliate Portal at listingset.io/affiliate. Applications are reviewed manually and approval is at our sole discretion. We may decline or revoke approval at any time without stating a reason.

14.2 Commission Structure

Approved affiliates earn a commission equal to their assigned commission rate (currently 20% by default) on each qualifying purchase made by a Referred User. Commissions are calculated on the net subscription price charged to the referred user, excluding taxes and processing fees.

14.3 Qualifying Purchases and Renewal Commissions

Qualifying purchases include new monthly subscription payments and monthly subscription renewals made by a Referred User. Commissions are earned for a maximum of 12 consecutive months per referred customer, starting from the date of their first subscription payment. If the referred user upgrades to a more expensive plan, commissions are recalculated on the new plan price for subsequent qualifying months.

14.4 Cancellation and Resubscription

If a Referred User cancels their subscription, commission payments for that user cease immediately — regardless of how many months remain within the 12-month window. If the same user later resubscribes, no further commissions are earned. The 12-month commission window does not restart or resume upon resubscription.

14.5 Referral Tracking

Referrals are tracked via a cookie placed on the referred user's device when they click your unique affiliate link. The referral cookie remains valid for 30 days. If the user clears their cookies, uses a different device, or the cookie expires before they register, the referral will not be attributed to you. We cannot retroactively credit referrals that were not tracked at the time of signup.

14.6 Payment of Commissions

Commissions are paid monthly on the 1st of each calendar month for all commissions earned in the previous calendar month. Payments are made exclusively via PayPal or Payoneer, to the payment details you have provided in the Affiliate Portal. You are responsible for keeping your payment details accurate. We are not liable for failed payments due to incorrect or outdated information you have provided.

14.7 Prohibited Affiliate Conduct

As an affiliate, you must not:

• Make false, misleading, or exaggerated claims about ListingSet or its products.
• Use paid search advertising that targets our brand name or branded keywords without our prior written permission.
• Refer yourself, create accounts under false identities, or engage in any fraudulent activity to generate commissions.
• Use spam, unsolicited bulk messages, or any deceptive method to drive traffic to your affiliate link.
• Represent yourself as an employee or official representative of ListingSet.

Violation of this section will result in immediate removal from the affiliate program and forfeiture of any unpaid commissions.

14.8 Program Modifications and Termination

We reserve the right to modify commission rates, payment schedules, eligibility criteria, or any other aspect of the affiliate program at any time. We will provide at least 30 days' advance notice to active affiliates of material changes. We may also suspend or terminate any affiliate account at our discretion. Commissions legitimately earned prior to termination (and not subject to forfeiture under Section 14.7) will be paid in the next scheduled payment cycle.

14.9 No Guarantee of Earnings

Participation in the affiliate program does not guarantee any level of income. Commission payments depend entirely on referred users making qualifying purchases. ListingSet makes no representations regarding the earning potential of the affiliate program.

The Service integrates with and may contain links to third-party services, platforms, and websites, including authentication providers, payment processors, database and infrastructure providers, and AI technology providers. We are not responsible for the practices, content, or availability of these third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that:

• The Service will be uninterrupted, secure, or free of errors.
• The results obtained through the Service will be accurate, complete, or meet your specific requirements.
• Any defects in the Service will be corrected.
• Generated images will be suitable for any particular commercial platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ListingSet AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL ListingSet'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO ListingSet IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless ListingSet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you upload, generate, or distribute through the Service.

19.1 By You

You may terminate your account at any time by deleting it from Account Settings. Upon deletion, your personal data will be removed within 30 days, subject to our legal retention obligations.

19.2 By ListingSet

We reserve the right to suspend or terminate your account, with or without notice, if we determine at our sole discretion that you have violated these Terms, engaged in fraudulent behavior, or posed a risk to the Service or other users. We may also terminate accounts that have been inactive for more than 24 consecutive months.

19.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, and governing law — shall survive.

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, the dispute shall be subject to the exclusive jurisdiction of the competent courts located in Israel.

If you are a consumer located in the EU, you may also have the right to access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

• Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and ListingSet regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control, including internet outages, natural disasters, or government actions.

We may update these Terms from time to time. When we make material changes, we will notify you by email to your registered address and/or by posting a prominent notice in the Service at least 14 days before the changes take effect. If you do not agree to the new Terms, you must stop using the Service and may delete your account. Continued use after the effective date constitutes acceptance.
